Biography

Mr. Zhang's practice focuses on cross-border mergers and acquisitions, private equity, foreign direct investment, and PRC regulatory matters. In particular, he has extensive involvement in China outbound investment projects. He regularly advises both domestic and multinational companies on PRC corporate, commercial, regulatory, and EHS issues in the manufacturing, civil aviation, automobile, TMT, and other consumer products sectors.

Representative Legal Matters

  • Advised Media and Games Investment SE on its acquisition from the Chinese sellers of a media technologies group operated from Germany and the US.
  • Advised Trip.com on a joint venture with TripAdvisor to acquire and operate TripAdvisor’s China business and global content licensing arrangements.
  • Advised Gonvarri on acquisition of a minority stake in its Chinese joint venture from the joint venture partner.
  • Advised Magna on its divestment of 50% interest in its joint venture with a large Chinese SOE, as well as the related post-divestment IP licensing arrangements.
  • Advised on a global chemical manufacturer on its proposed acquisition of a majority stake in a Chinese silicon production company.
  • Advised Metro Group in its divestiture of its majority stake in Metro China business to and joint venture partnership with Wumart. Deal value: EUR 1.9 billion.
  • Advised Berkeley Energy on its acquisition of 50% equity interest in Symbior Biocrude Limited, a Hong Kong company holding interests in approximately 10 roof-top solar power projects in mainland China.
  • Advised a global transport and logistics group Kuehne+Nagel on its USD 1.5 billion acquisition of Apex International Corporation from private equity firm MBK Partners and management.
  • Advised an Asian biotechnologies company on its sale of equity interests in two biotechnological operating companies in China.
  • Advised a major Chinese SOE on its acquisition of a majority stake in a global hotel group headquartered in the US.
